ARTICLE I

MEMBERS

Section 1. The Southern Illinois Quaker Meeting is a Monthly Meeting in the Religious Society of Friends (Quakers) and affiliated with Illinois Yearly Meeting of the Religious Society of Friends. The members of the corporation shall be all of the persons who have from time to time been admitted to membership in the Southern Illinois Quaker Meeting (a.k.a. "the Meeting"), and whose membership shall not have been transferred or otherwise terminated; and those who feel led to participate in the business of the Meeting.

Section 2. An annual meeting of the members of the corporation for the transaction of business shall be held on the first (1st) Sunday in December of each year at the Interfaith Center or such other place of worship then in use by the Meeting following the meeting for worship. At such meeting there shall be selected a Board of Directors, which shall consist of three members of the corporation; and there shall also be selected a President, Secretary, and Treasurer. The Board of Directors may be composed solely of the corporation officers or separate individuals.

Such directors and officers shall hold office during the ensuing year and until their successors shall be duly selected. All selections and all other business transacted at meetings of the corporation shall be conducted in accordance with the general business procedure prescribed in Faith and Practice, published by Illinois Yearly Meeting of the Religious Society of Friends and, where procedures are not prescribed, the Philadelphia Yearly Meeting of the Religious Society of Friends.

Section 3. Special meetings of the members of the corporation may be held for any purpose or purposes upon call of any officer of the corporation or upon request in writing of any five members thereof. Notice of such special meeting shall be given at the meeting for worship immediately preceding the date upon which such special meeting is to be held, and the business to be transacted at such meeting shall be confined to the objects stated in such notice.

ARTICLE II

DIRECTORS

Section 1. The number of directors which shall constitute the whole Board shall be three. The majority of the Board of Directors shall constitute a quorum. If any vacancies occur in the Board of Directors for any reason, the directors or director then in office, though less than a quorum, may choose a successor or successors to serve until a meeting of the members of the corporation is held to select a replacement or replacements.

Section 2. The property and business of the corporation shall be managed by the Board of Directors which may exercise all such powers of the corporation and do all such lawful acts and things as are not by statute or by the Articles of Association or by these By-Laws directed or required to be exercised or done by the members; provided, however, that the directors in conducting the business of the corporation shall at all times conduct the same in accordance with the principles and practices prescribed in Faith and Practice, published by Illinois Yearly Meeting of the Religious Society of Friends and, where procedures are not prescribed, the Philadelphia Yearly Meeting of the Religious Society of Friends. The Directors shall communicate their actions to the membership at the next regularly scheduled meeting for worship with attention to business, and seek the agreement of that body.

Section 3. Meetings of the Board of Directors may be held without notice at such time and place as shall from time to time be determined by the Board.

ARTICLE III

OFFICERS

Section 1. The officers of the corporation shall be chosen by the members and shall be a President to be known as Clerk of the Meeting, a Secretary to be known as the Recording Clerk, and a Treasurer.

Section 2. The Board of Directors may appoint such other officers and agents as it shall deem necessary, who shall hold their offices for such terms and shall exercise such powers and perform such duties as shall be determined from time to time by the Board.

Section 3. The Clerk of the Meeting shall be the chief officer of the corporation and shall preside at all meetings of the members and directors. Subject to the direction of the members and directors he/she shall have the general management of the business of the corporation and shall see that all orders and resolutions of the members or Board of Directors are carried into effect. He/she shall execute bonds, mortgages and other contracts exceeding $500.00 on behalf of the corporation except where the execution thereof shall be expressly delegated by the Board of Directors to some other officer or agent of the corporation. If the Clerk is unavailable to perform this duty, the Board of Directors shall issue a Resolution authorizing two other individuals to act for the Meeting.

Section 4. The Recording Clerk shall attend all sessions of the Board of Directors and meetings of the members and record the minutes of all proceedings in a book to be kept for that purpose.

Section 5. The Treasurer shall have the custody of the corporate funds and shall keep full and accurate accounts of receipts and disbursements and shall deposit all moneys of the corporation in the name and to the credit thereof in such depositories as may be directed by the Board of Directors.

ARTICLE IV

DISSOLUTION

Section 1. A dissolution of the Corporation shall be by agreement of the membership, at which time all rights of property vested in the Corporation shall revert to the worshipping body. In case of the laying down of the Southern Illinois Quaker Meeting, all rights of property vested in it and all responsibility for records shall be transferred and conveyed to the Illinois Yearly Meeting of which it is a part.

ARTICLE V

AMENDMENTS

Section 1. These By-Laws may be altered, amended or repealed at any regular or special meeting of the members of the corporation, provided notice of the proposed alteration or repeal be given in the manner herein provided with respect to notices of special meetings of the members.
